Corporate law
Corporate law encompasses company law and all regulations specifically relevant to businesses. In practice, it mainly concerns decision-making, governance and compliance within companies and group structures.
I handle, among other things, issues concerning the relationship between shareholders among themselves and vis-à-vis the management board, directors’ liability and shareholder disputes. Where amicable solutions prove impossible, I litigate before courts—for example regarding the annulment of resolutions—and before the Enterprise Chamber of the Amsterdam Court of Appeal in matters of mismanagement, shareholder exit or expulsion, and other interim measures. I also regularly act in inquiry proceedings and support investigators appointed by the Enterprise Chamber.
In addition, I advise on corporate governance, articles of association and restructurings, including in the context of legislative amendments and supervisory issues. Mergers and acquisitions form a structural part of the practice, including due diligence and drafting and reviewing transaction documentation.

- Assistance to majority shareholders in the withdrawal of a dysfunctional minority shareholder.
- Guidance of shareholders in the dismissal of a dysfunctional statutory director.
- Involvement in various inquiry proceedings before the Enterprise Chamber concerning (alleged) mismanagement.
- Dozens of advisory matters and multiple proceedings on directors’ liability, on both sides of the dispute.
- Separation of limited partnerships and general partnerships in business disputes with a strong personal component.
- Guidance of national and international acquisitions, with deal values between €500,000 and €40 million.
- Implementation of an extensive amendment of the articles of association of an insurer in connection with revised governance requirements.
